Terms of Service
Last updated: 26 June 2026These terms are the agreement between you and Tensho Labs LLC for your use of kodo. Please read them carefully — by using kodo, you agree to them.
1Acceptance of these terms
kodo is operated by Tensho Labs LLC, a company registered in the State of Wyoming, United States ("kodo", "we", "us"). By creating an account or using kodo, you agree to these Terms of Service and to our Privacy Policy. If you are using kodo on behalf of a business, you confirm you are authorised to accept these terms for that business.
2The kodo service
kodo provides software that lets sellers create an online storefront, manage products and inventory, receive and manage orders, connect messaging channels such as WhatsApp and Instagram, arrange deliveries, and record payments. kodo is a tool for running your business; we are not a party to the sales you make to your customers.
kodo is offered as an evolving service and is currently in beta. Features may change, and we may add, modify or remove functionality over time.
3Who can use kodo
You must be at least 18 years old and able to form a binding contract. You must provide accurate information and keep it up to date. You are responsible for ensuring your use of kodo is lawful where you operate.
4Your account
You are responsible for your account and for keeping your login credentials secure. You are responsible for all activity that happens under your account. Tell us promptly at dev@tensholabs.com if you suspect any unauthorised use.
5Seller responsibilities
As a seller using kodo, you are the merchant responsible for your own business. In particular:
- you are responsible for your products, prices, descriptions, order fulfilment and customer service;
- you are the controller of your customers' personal data and must handle it lawfully, including providing your customers with your own store policies (such as returns and delivery);
- you are responsible for the taxes, licences and legal requirements that apply to your business; and
- you will only sell goods and services you are legally allowed to sell.
kodo provides the platform; the agreement for any sale is between you and your customer.
6Acceptable use
You agree not to use kodo to:
- break the law or sell prohibited, counterfeit, unsafe or restricted goods;
- send spam or unsolicited messages, or otherwise misuse connected WhatsApp or Instagram accounts;
- violate the terms or policies of Meta, WhatsApp, Instagram, courier partners or other services you connect;
- infringe anyone's intellectual property or privacy rights;
- upload malware, attempt to gain unauthorised access, or disrupt or reverse-engineer the service; or
- misrepresent yourself or your business.
We may investigate and may suspend or limit accounts that breach these rules.
7Orders and payments
kodo helps you record orders and payments, including cash on delivery and bank transfers. These payments are made directly between you and your customer; kodo does not collect or hold payment for your sales. You are responsible for confirming payments, issuing any refunds to your customers, and resolving disputes about your orders. If online payment options are offered in future, additional terms will apply.
8Fees and billing
kodo is currently free to use during beta. We may introduce paid plans and fees in future; if we do, we will give notice and you can choose whether to continue on a paid plan. Billing and any refund terms for kodo subscriptions are described in our Refund & Billing Policy.
9Third-party services
kodo works with third-party services such as Meta (WhatsApp and Instagram), courier partners and email providers. Your use of those services is also subject to their own terms, and we are not responsible for their availability, actions or content. Connecting a third-party account authorises kodo to interact with it on your behalf to provide the features you have enabled.
10Intellectual property
kodo, including its software, design and brand, is owned by Tensho Labs LLC and protected by law. We grant you a limited, non-exclusive, non-transferable right to use kodo while these terms are in effect. You keep ownership of the content you upload (such as product images and text), and you grant us the licence needed to host and display it in order to operate your store and the service.
11Privacy and data
Our handling of personal information is described in our Privacy Policy. Where kodo processes your customers' personal data on your behalf, you are the controller and we act on your instructions to provide the service.
12Disclaimers
kodo is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free or fit for a particular purpose. You use kodo at your own risk.
13Limitation of liability
To the fullest extent permitted by law, Tensho Labs LLC and its owners and staff will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of (or inability to use) kodo. To the extent we are found liable, our total liability for any claim relating to the service will not exceed the greater of the amount you paid us for kodo in the 12 months before the claim, or USD 50.
14Indemnification
You agree to indemnify and hold harmless Tensho Labs LLC from claims, losses and expenses (including reasonable legal fees) arising from your use of kodo, your products and sales, your handling of your customers' data, or your breach of these terms or of any law or third-party rights.
15Suspension and termination
You may stop using kodo and close your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or to protect the service or other users. On termination, the rights granted to you end; sections that by their nature should survive (such as intellectual property, disclaimers, liability and indemnification) will continue to apply. You can request deletion of your data as described in our Data Deletion page.
16Governing law
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. You agree that the courts located in Wyoming will have jurisdiction over any dispute that is not otherwise resolved, except that we may seek injunctive relief in any appropriate jurisdiction. Nothing in this section removes any mandatory consumer rights you have under the laws of your home country.
17Changes to these terms
We may update these terms from time to time. We will revise the "Last updated" date and, for material changes, take reasonable steps to notify you. Continued use of kodo after a change means you accept the updated terms.
